Fieldlist Content Creator Terms

These terms and conditions (“Creator Terms”) govern the relationship between you, the content creator (“Content Creator”), and Orijin Creative Agency LLC DBA Snowday Agency (“Fieldlist”). By uploading content, which includes but is not limited to photographs, videos, audio, and graphics (“Content”) to the Fieldlist website/platform, or otherwise transferring Content to Fieldlist by other mean such as email or a cloud link, Content Creator agrees be bound by these Creator Terms.
Eligibility. In order to provide Content to Fieldlist, you must be at least 18 years of age and complete the “Creator’s Sign Up” form located at app.thefieldlist.com. If any information you provide is, or appears to be, untrue, inaccurate, outdated, or incomplete, Fieldlist reserves the right to suspend or terminate your access. Fieldlist may also request additional information at any time to verify your identity.
Relationship. You are engaged as an independent contractor with respect to Fieldlist, and not as an employee. As such, you are solely responsible for all taxes, withholdings, business licenses, and other expenses arising from your services. Nothing in these Creator Terms shall be interpreted to create a partnership, agency, joint venture, employment, or similar relationship between you and Fieldlist. You may not represent yourself as an agent of Fieldlist under any circumstances.
Payment. Fieldlist shall compensate the Content Creator for the Content at the flat rate specified in the applicable project listing. Payment shall be processed by Fieldlist to the Content Creator via check, Venmo, or an alternate payment method within Fieldlist’s sole discretion, within a reasonable time following receipt of the Content, Content Creator’s IRS W9 form, and the required Content Creator verification information. Fieldlist reserves the right to withhold payment for reasons including but not limited to (i) Content not meeting the specified Content requirements set forth in the project listing and/or Fieldlist’s content requirements, brief, and shot list, (ii) incomplete Content, (iii) Content that does not abide to Fieldlist’s Content Guidelines, (iv) failure to upload and/or edit the Content by the required content deadline set forth in the project listing, (v) failure to provide Fieldlist with copies of releases, permissions, or licenses as set forth in the “Permissions” section below, or (vi) Content Creator’s breach of these Creator Terms. Without limiting the foregoing, Fieldlist reserves the right to withhold payment or adjust compensation for any Content that is uploaded for a project listing that has been terminated or cancelled.
Expenses. Content Creator shall be responsible for all expenses incurred while creating Content. This includes but is not limited to, travel, admission fees (to access locations or venues set forth in the project listing), and equipment necessary to create Content. Fieldlist may provide reimbursement for certain expenses within its sole discretion, and Content Creator must receive explicit pre-approval from Fieldlist to qualify for any reimbursements. Furthermore, Content Creator must provide Fieldlist with receipts for any pre-approved reimbursable expenses.
Insurance. Content Creator acknowledges and agrees that he/she is responsible for maintaining any insurance required for the activities necessary to produce the Content. This includes but is not limited to (i) automobile-liability, (ii) general liability (iii) health coverage, and (iv) drone/UAV coverage. Content Creator acknowledges and agrees that Fieldlist is not responsible for verifying or maintaining the Content Creators’ insurance records and assumes no responsibility. Content Creator affirms they have obtained and have active coverage as necessary, and Fieldlist shall not be held responsible for Content Creator’s failure to obtain/maintain coverage, or any damages in connection with Content Creator’s failure.
Guidelines. Content Creator shall (i) refrain from uploading or soliciting Content involving illegal acts, harassment, hate speech, violence, defamation, or sexually explicit material, (ii) refrain from uploading Content that is not original and/or generated using Artificial Intelligence tools, (iii) respect the integrity of Fieldlist and other Content Creators, (iv) not engage in fraudulent transactions, artificial inflation of Content views, or circumvention of Fieldlist’s payment processes. Additionally, Content Creator agrees to abide to the Content Guidelines and Fieldlist’s website terms and conditions.
Permissions. Content Creator represents and warrants that he/she has obtained all necessary permissions and/or releases to feature the likeness of any individual featured in the Content in whole or in part, as well as any necessary location releases required to create the Content set forth in the project listing. Furthermore, if the Content Creator is not the sole author and/or owner of any elements incorporated in the Content, including but not limited to sound recordings, audio, or sound bites, Content Creator represents and warrants that they have obtained all of necessary permissions, licenses, or releases to lawfully use the third-party intellectual property, and its exploitation by Fieldlist as set forth in Fieldlist’s Media Release. Fieldlist assumes no responsibility for obtaining the necessary permissions and/or releases and shall be held harmless for any and all claims of copyright infringement or any other third-party rights. Fieldlist reserves the right to request a copy of all applicable releases, permissions, or licenses from Content Creator.
Indemnification. Content Creator agrees to indemnify, defend, and hold harmless Fieldlist, its directors, officers, members, agents, contractors, and employees from and against any and all losses, damages, actions, judgements, liabilities, legal action, disputes, or claims, including without limitation, reasonable attorney’s fees and expenses as and when incurred (collectively, “Claims”), resulting or arising out of (i) Content Creator’s breach of these Creator Terms, and (ii) Content Creator’s performance of services and/or production of Content in connection with Fieldlist. Furthermore, Content Creator indemnifies and holds harmless Fieldlist, its directors, officers, members, agents, contractors, and employees from any and all civil or criminal claims arising from the Content Creator’s use of Fieldlist or any Content uploaded to Fieldlist.
Limitation of Liability. Content Creator assumes all risks in connection with creating Content and agrees that Fieldlist, its directors, officers, members, agents, contractors, and employees shall not be responsible or liable for any damages, costs, or legal fees arising from personal injury, bodily injury. Illness, property or equipment damage, and/or loss of personal property and equipment.
Termination. Fieldlist reserves the right to suspend or terminate Content Creators access to Fieldlist without liability, at any time for any reason, including but not limited to (i) Content Creator’s breach of these Creator Terms, (ii) inappropriate behavior, (iii) suspected illegal activity, or (iv) inactivity on Fieldlist, as determined in Fieldlist’s sole discretion.
Additional Terms. In addition to these Creator Terms, Content Creator agrees to abide to Fieldlist’s website terms & conditions located here.
Modification. Fieldlist reserves the right, in its sole discretion, to update, modify, remove, or add provisions of these Creator Terms at any time. Content Creator should check these terms periodically for changes. Content Creator’s continued use of Fieldlist after it has posted any changes or modifications constitutes acceptance of those changes regardless of whether they have reviewed them. If Content Creator does not agree to the changes, they should discontinue use of Fieldlist.
Disputes. Any dispute arising out of or referring to the subject matter of these Creator Terms shall be resolved exclusively by arbitration in the State of Wyoming. Fieldlist shall have the right to collect its reasonable costs and attorney’s fees incurred in any action relating to a breach of these Creator Terms by Content Creator or dispute concerning the Content and these Creator Terms.
Applicable Law. The laws of the State of Wyoming shall govern these Creator Terms.
