Business User Terms and Conditions
Understanding of product use scope

These terms and conditions relate to the Business User “Business” on the Feldlist platform (“Fieldlist”), provided by Snowday Agency, DBA Orijin Creative Agency LLC. “Business” User use of the web app or any tools and functions on thefieldlist.com or app.thefieldlist.com are subject to these Terms and Conditions. By using Fieldlist the Business User acknowledges consent and adoption of these Business User Terms and Conditions. These terms are an addendum to the current Agency Services Agreement signed with Snowday Agency.

1. Project Credits
Project Credits (“Project Credits”) are purchased through Snowday Agency and are paid in full at the time of execution and use of the Fieldlist platform. Project Credits must be used within 12 months and do not roll over, are not transferable, and are non-refundable.

2. Project Conformity and Platform Use
All Fieldlist Projects (“Projects”) shall be conducted on the Fieldlist platform, or alternative channels specifically indicated by the App, terms and conditions, or use instructions. Business users shall be notified within the app and via email to the associated email of their user account.

Project briefs shall conform to the common project template of the platform and the content guidelines (thefieldlist.com/fieldlist-content-guidelines).

All Projects will be reviewed by Fieldlist team prior to public distribution on the Fieldlist marketplace. Projects may be edited for clarity and to support a quality of execution for Creators (“Creators”). The Fieldlist team reserves the right to modify Projects to meet the usage guidelines, requirements, and scope constraints of Projects on the platform. In some cases, Fieldlist may alter, clarify, summarize, or provide supporting context, analysis, or creative details and direction, in an effort to improve communication with potential Creators. Fieldlist will endeavor to publish draft projects within 24 hours, within business hours.

It is the Business’s responsibility to award open Projects to a single Creator applicant. When a Business awards a project to a Creator, they fully attest that they have reviewed, or waive their right to review, the Creator and their Fieldlist profile, or any externally available references or bodies of work, whether complete or incomplete.

Any anticipated Creator expenses (e.g. meals, tickets, entrance fees, etc.) are not by default included in the project credit or any other Scope of Work agreements with Snowday Agency. These may be communicated to the Fieldlist team (fieldlist@snowdayagency.com) and may be handled on a per-project basis, at the sole discretion of Fieldlist. They will incur an additional pass through billing to the Business that are in addition to any Project Credit fees.

3. Project Completion and Project Satisfaction
Fieldlist does not guarantee that projects will receive any Creator applications, or that applications will be from Creators who meet the Business’s requirements for the Project. Fieldlist makes no guarantees of application response time, quantity, quality, or any other guarantee of service or RFP fulfillment.

Fieldlist reserves the right to un-publish Projects for any reason, including lack of Creator interest or expansive or burdensome scope. If a Project is un-awarded and is un-published, the Business shall receive a Project Credit refund.

Edits, if required, are limited to one single comprehensive text-based feedback for the Creator, delivered through the Project Feedback feature on Fieldlist. This edit and any subsequent submissions, revisions, re-shoots, or editing, is inclusive of any original published due dates in the original Project description. Creators are bound to a 72 hour turnaround on edits or requested revisions. Projects are subject to one single requested revision, if required.

It is highly recommended that Projects cite a due date that is prior to any required due dates for having completed approved content in-hand by the Business. Fieldlist is not responsible in any way for any loss, harm, financial, or material damages related to late Project completion.

It is the sole discretion of Fieldlist to evaluate if a Creator materially fails to deliver Content that meets a good faith and reasonable effort to address the scope, details, and deliverables outlined in the Project and/or public Business profile. If a Creator fails to deliver a complete project, as decided by Fieldlist, the Business may be credited with a Project Credit.

4. Delivery
Fieldlist is not responsible in any way for a Creator’s failure to deliver complete, accurate, or timely deliverables. Fieldlist may facilitate communication related to deadlines or project compliance, or otherwise support the project management and execution of complete and satisfactory projects, at the sole discretion of Fieldlist. Creators who consistently miss delivery requirements may be barred from using Fieldlist.

5. Content Rights
All Content delivered to the Business through Fieldlist or other means of transmission is subject to the terms of a current and signed Snowday Agency Services Agreement (“ASA”), and the transferable terms of the “Creator Media Release” and “Fieldlist Creator Terms and Conditions.” Where terms conflict, the highest possible ownership and rights shall be transferred and assigned to the Business.
